Bestagents Inc. – AI Ad Machine – Listing Engine

These Terms & Conditions (“Terms”) govern your access to and use of the AI Ad Machine platform and related services (“Service”) operated by Bestagents Inc. (“we”, “us”, “our”).

By subscribing to or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Who We Are & What We Provide

Bestagents Inc. provides access to a software-as-a-service (SaaS) platform designed to help businesses create, test, manage, and optimise digital advertising and marketing assets.

The Service may include:

  • Access to the AI Ad Machine platform

  • Licensed or white-labelled third-party software

  • Configured systems and environments

  • Digital assets, templates, automations, and workflows

  • Ongoing access, infrastructure, and support

Bestagents Inc. acts as the principal service provider. You are contracting directly with Bestagents Inc., not with any third-party software provider.

2. Subscription & Payment Terms

  • The Service is provided on a subscription basis, billed monthly in advance.

  • Fees are payable regardless of usage.

  • All prices are exclusive of applicable taxes unless stated otherwise.

  • Failed or overdue payments may result in suspension or termination of access.

  • Subscription fees are non-refundable, including for partial months.

We reserve the right to update pricing with reasonable notice.

3. No Guarantee of Results

We do not guarantee:

  • Advertising performance

  • Lead volume

  • Sales outcomes

  • Cost-per-click, cost-per-lead, or return on investment

Digital advertising results depend on many factors outside our control, including market conditions, competition, platform algorithms, audience behaviour, and client-supplied content.

By using the Service, you acknowledge and accept that outcomes are variable and not guaranteed.

4. Client Responsibilities

You are responsible for:

  • All content you upload, submit, or approve

  • Ensuring your advertising complies with:

    • Platform policies (e.g. Meta, Google, TikTok)

    • Consumer protection laws

    • Advertising and marketing regulations in your jurisdiction

  • Maintaining your own ad accounts and payment methods

  • Decisions relating to targeting, budgets, offers, and messaging

We do not provide legal, financial, tax, or compliance advice.

5. Third-Party Software & Licensed Components

The Service may incorporate licensed, white-labelled, or third-party software components.

You acknowledge and agree that:

  • Some components of the Service are not owned by Bestagents Inc.

  • Bestagents Inc. has full legal authority and permission to license and provide access to these components as part of the Service.

  • We are not obligated to disclose alternative providers, direct licensing options, or third-party pricing structures.

  • Pricing reflects the bundled service, system configuration, infrastructure, and support, not solely the underlying software components.

Bestagents Inc. does not act as a reseller, procurement agent, or purchasing advisor for third-party software.

6. Intellectual Property

  • All software, systems, workflows, automations, templates, and proprietary materials remain the intellectual property of Bestagents Inc. or its licensors.

  • You retain ownership of content you supply.

  • Customised digital assets are licensed to you only for the duration of your active subscription.

  • Upon cancellation or termination, your licence to use the Service and related assets ends.

No ownership rights are transferred unless expressly agreed in writing.

7. Cancellation & Termination

  • You may cancel your subscription at any time by providing 30 days’ written notice.

  • Access to the Service will continue during the notice period unless otherwise agreed.

  • Upon cancellation or termination:

    • Access to the AI Ad Machine platform will end

    • Access to any Go High Level or related accounts provided through us will be revoked

    • Customised digital assets, systems, and automations will be disabled or removed

We reserve the right to suspend or terminate access immediately for:

  • Non-payment

  • Breach of these Terms

  • Unlawful or abusive activity

  • Actions that pose legal or reputational risk

8. Service Availability

The Service is provided on an “as is” and “as available” basis.

We do not guarantee uninterrupted access. Downtime may occur due to:

  • Maintenance or updates

  • Third-party outages

  • Platform changes beyond our control

9. Limitation of Liability

To the maximum extent permitted by law:

  • Bestagents Inc. will not be liable for indirect, incidental, consequential, or special damages.

  • Our total liability is limited to the subscription fees paid by you in the three (3) months preceding the claim.

This includes, without limitation, loss of revenue, profit, data, business opportunity, or goodwill.

10. Indemnification

You agree to indemnify and hold harmless Bestagents Inc. from any claims, losses, or liabilities arising from:

  • Your advertising content

  • Your use of the Service

  • Breach of platform policies or laws

  • Claims made by third parties related to your ads or offers

11. Privacy & Data Use

Your use of the Service is subject to our Privacy Policy.

By using the Service, you consent to:

  • Data processing and storage

  • Use of automation and AI-assisted systems

  • Storage of data on third-party servers where required to deliver the Service

12. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, platform failures, or government actions.

13. Governing Law

These Terms are governed by the laws of [insert jurisdiction – e.g. Ontario, Canada], without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are published constitutes acceptance of the updated Terms.
